These Terms of Use (“Terms”) govern the access to and use of the services, facilities, digital platforms, and operations of Tiara Xcel LLC (“Company,” “we,” “us,” or “our”). By engaging with our services, including but not limited to the use of our petroleum and petrochemical storage facilities, logistics operations, digital systems, and related offerings, you (“Client,” “Customer,” “User,” or “you”) agree to comply with and be bound by these Terms.
If you do not agree with any part of these Terms, you must discontinue use of our services immediately.
1. Eligibility and Acceptance
1.1 By entering into a service agreement or accessing our facilities, you confirm that you are legally authorized to represent your organization or act on its behalf.
1.2 You must be at least 18 years old and have the legal capacity to enter binding contracts in your jurisdiction.
1.3 Use of our bonded facilities, tax-free zone services, or logistics operations requires strict compliance with applicable international, European Union, Belgian, and local regulations.
2. Scope of Services
2.1 Tiara Xcel LLC provides specialized services including but not limited to:
- Loading and discharging of barges, vessels, and VLCCs.
- Deep draft jetty operations.
- Storage, blending, circulation, and supply of petroleum and petrochemical products.
- Inter-terminal and inter-tank transfers.
- High-speed pumping, pigging, stripping, and additive injection.
- Heating, homogenizing, and monitoring of stored products.
- Bonded area and tax-free storage solutions.
2.2 All services are subject to specific contractual agreements, operational guidelines, and availability.
3. Customer Responsibilities
3.1 Clients are responsible for ensuring that all products delivered to our facilities meet applicable safety, quality, and regulatory standards.
3.2 Clients must provide accurate documentation, shipping details, and declarations to comply with customs, safety, and tax regulations.
3.3 Customers are prohibited from storing, handling, or transporting unauthorized, hazardous, or illegal substances.
3.4 Any misuse of our facilities or non-compliance with these Terms may result in immediate suspension of services and legal action.
4. Health, Safety, Security, and Environment (QHSSE)
4.1 Safety is a core value at Tiara Xcel LLC. All operations are conducted in compliance with ISO 45001:2018, ISO 9001:2015, and ISO 14001:2015 standards.
4.2 Customers, contractors, and visitors must adhere to all safety procedures, permit-to-work systems, and terminal rules while on-site.
4.3 The Company reserves the right to refuse unsafe instructions, suspend unsafe operations, and intervene in the event of potential hazards.
4.4 Clients must cooperate in implementing environmental protection measures, including pollution prevention, waste reduction, and emissions control.
5. Use of Digital Platforms and Automation Systems
5.1 Tiara Xcel LLC utilizes advanced systems such as the Terminal Automation System (Qino TAS) and SCADA for operational planning, monitoring, and control.
5.2 Unauthorized access, tampering, or misuse of these systems is strictly prohibited.
5.3 Clients granted access credentials must protect their login information and ensure it is not shared with unauthorized parties.
5.4 We reserve the right to monitor and log activities on our digital platforms for security, compliance, and operational purposes.
6. Fees, Payments, and Taxes
6.1 Service charges, storage fees, and related costs will be detailed in client-specific contracts or invoices.
6.2 Payments must be made within the agreed contractual terms; late payments may incur penalties or suspension of services.
6.3 Where applicable, bonded and tax-free services are provided under customs regulations. Clients are responsible for any duties, taxes, or levies triggered by the release, re-export, or sale of stored products.
7. Confidentiality and Data Protection
7.1 Tiara Xcel LLC respects the confidentiality of customer information and trade data.
7.2 All data is processed in accordance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR).
7.3 Clients must also maintain confidentiality of proprietary information, including operational procedures, pricing models, and security protocols.
8. Intellectual Property
8.1 All trademarks, logos, systems, designs, and content displayed on our platforms or documents remain the exclusive property of Tiara Xcel LLC.
8.2 Clients may not reproduce, distribute, or exploit any intellectual property belonging to the Company without prior written consent.
9. Limitation of Liability
9.1 While Tiara Xcel LLC employs the highest safety and quality standards, we are not liable for losses caused by force majeure events, including natural disasters, strikes, accidents, or regulatory actions beyond our control.
9.2 Clients are responsible for insuring their products against risks such as loss, damage, or contamination.
9.3 Our liability, where applicable, is limited to the maximum extent permitted by law and as outlined in client-specific agreements.
10. Termination of Services
10.1 Either party may terminate services with prior written notice as per the governing contract.
10.2 The Company may suspend or terminate services immediately in cases of non-compliance, illegal activity, or breach of safety standards.
10.3 Upon termination, clients must promptly remove their products and settle any outstanding obligations.
11. Governing Law and Dispute Resolution
11.1 These Terms are governed by the laws of Belgium and, where applicable, the European Union.
11.2 Disputes arising under these Terms shall first be addressed through negotiation and mediation. If unresolved, disputes will be submitted to the exclusive jurisdiction of the courts of Nigeria.
12. Amendments
12.1 Tiara Xcel LLC reserves the right to update or amend these Terms at any time to reflect changes in law, industry standards, or operational requirements.
12.2 Clients will be notified of material changes, and continued use of our services constitutes acceptance of the updated Terms.
